Terms of Service

1Who we are, and what these terms cover#

Cooked is operated by ZEVRON LLC, a Florida limited liability company (“Cooked”, “we”, “us”). These Terms of Service (“Terms”) cover the Cooked Paper iPhone app, the website at cooked.trade, and the servers and features behind them (together, the “Service”).

When you create an account, sign in, or otherwise use the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle your data. If you do not agree, do not create an account and do not use the Service. If you do not accept a later change to these Terms, you can stop using the Service and delete your account (section 18).

You can write to us at support@cooked.trade about anything in these Terms.

2The short version#

This summary is for convenience. The numbered sections below are the agreement, and they control if the two ever differ.

• Everything on Cooked is simulated. No real money, tokens or wallets are used, and no real trade is ever placed.
• Nothing here is financial, investment, tax or legal advice, and a good simulated result does not predict a real one.
• The iPhone app is a paid subscription billed by Apple. You manage, cancel and get refunds through Apple.
• Your username, rankings and results can be seen by other people. Do not put anything private in your profile.
• You must be 18 or older.
• Be decent: no cheating, abuse, scraping or attacks on the Service.
• You can delete your account any time in the app (Settings → Delete account). Deleting it does not cancel an App Store subscription.
• Disputes are settled one-on-one, usually by arbitration, with a way to opt out (section 22).

3Who may use Cooked#

You must be at least 18 years old and able to form a binding contract to use the Service. Cooked is not directed at anyone under 18, and we do not knowingly allow them to hold an account. If we learn that an account belongs to someone under 18, we will close it.

You may not use the Service if you are barred from doing so by law, if you are located in, or ordinarily resident in, a country or region subject to a comprehensive U.S. embargo, or if you appear on a U.S. Government list of prohibited or restricted parties. You may not use the Service if we previously closed your account for breaking these Terms, unless we agree in writing.

Laws about trading-related products, including simulations of them, differ between countries. You are responsible for making sure your use of Cooked is lawful where you are.

4What the Service does, and what it does not#

Cooked is a simulator. You place simulated trades on Solana tokens at live market prices, using a simulated balance, and your results are recorded against your account. Around that sit features that use those results: price alerts, a leaderboard, monthly seasons, achievements, head-to-head duels, friend leagues, a daily higher-or-lower prediction game, and shareable result cards.

Cooked does not offer real trading. It does not execute, route, or broker trades; it does not hold, receive, send or custody money, tokens or private keys; it does not take deposits or pay out winnings; and it does not offer or sell securities, commodities, derivatives or any other financial product. Signing in with a wallet on the website means signing one message to prove you control an address. That signature is not a transaction and moves nothing.

If we ever add real-money features, they will come with their own terms, and you will be asked to accept them separately before using them. Nothing in these Terms is consent to that.

5Paper trading is simulated. Nothing is bought or sold.#

When you place a paper trade, no transaction is signed or broadcast, no asset changes hands, and no money moves. The result is a record in our database and nothing else.

Your simulated balance is not money. It cannot be withdrawn, transferred, redeemed, sold, or converted into anything, and it has no cash value. The same is true of any simulated gain, ranking, achievement or season tier. Your subscription pays for access to the app, not for balance, and does not buy any real-world value.

The mechanics below are the settings at the time of writing. They are configuration, we may change them, and the app shows what applies to you.

Paper fills are priced from live third-party market data and are modelled, not matched. There is no order book, no counterparty and no queue. A real order of the same size at the same moment could fill at a different price, or not at all. Simulated results are not a prediction of real results and we do not present them as one.

You can reset a paper portfolio at any time. A reset deletes its trades, restores the starting balance, and cannot be undone. We record how many times a portfolio has been reset and may show that next to its results.

Leaderboards, seasons, duels and leagues are for fun and bragging rights. They carry no prizes or rewards of any value unless we publish separate official rules that say otherwise.

6Simulated leverage and simulated liquidation#

The app lets you open simulated leveraged positions, long or short, at 2x, 5x or 10x. They are simulated in full: nobody lends you anything, no margin account exists, no derivative is created, and no exchange or counterparty is involved. “Margin”, “leverage”, “short” and “liquidation” are the names of calculations we run on simulated balance, not financial relationships.

The margin you set aside comes out of your simulated cash. If the live price moves against a position far enough that its simulated equity falls to the maintenance margin, we liquidate it: the position closes and the simulated margin behind it is lost. That is the most a leveraged paper position can cost you, and it costs simulated balance only. You can never owe us, or anyone else, anything because of a paper position.

Liquidation is checked against sampled live prices every few seconds, not continuously. A real leveraged position on a real venue could be liquidated sooner, later, at a different price, or not at all, and would pay funding, borrowing costs and fees that are not modelled here. A simulated leveraged result says even less about a real one than an unleveraged result does.

7Not advice, and no promises about results#

Cooked is an educational and entertainment product. We are not a broker-dealer, investment adviser, exchange, bank, money transmitter or financial institution, and nothing in the Service is financial, investment, legal or tax advice or a recommendation to buy, sell or hold any asset. Tokens shown in the app, including those that rank highly or are popular, are not endorsed by us.

We make no claim about what you could earn from real trading, and no result in the app, whether yours or another user’s, should be taken as an indication of one. Many people lose money trading the kinds of tokens Cooked simulates, and the market data we show can be wrong, delayed or unavailable. Do your own research, and talk to a licensed professional before putting real money at risk.

8Accounts and sign-in#

You need an account to use the Service. You can create one with Sign in with Apple or Google in the iPhone app, or with Google or by signing a message with a Solana wallet on the website. There is no password. Your account is created the first time you sign in, and by tapping the sign-in button you confirm that you have read and accept these Terms and the Privacy Policy and that you are 18 or older.

• Apple, Google and your wallet provider are separate companies. Their own terms govern how you use them, and we are not responsible for them. If you use Apple’s Hide My Email, we receive Apple’s relay address in place of your own.
• Keep control of the sign-in methods you use. You are responsible for activity on your account, and you should tell us at support@cooked.trade if you think someone else has access.
• One person, one account. Do not create accounts to evade a ban, to inflate a ranking, or to play against yourself.
• Provide accurate information and keep it current. Your username must not impersonate anyone, infringe a trademark, or be offensive; we may change or remove one that is.
• We may require you to sign in again at any time, and sessions expire.

9Your profile and what other people can see#

Cooked is social by design. Your username, display name, generated avatar, bio, and results can be seen by other people, and some of it by anyone, including people without an account. That includes leaderboard and season rankings, duel and league standings, achievements, and result cards you choose to share. A shared card contains a link and the figures on it, and anyone who has it can pass it on.

The Privacy Policy lists what is public. Choose a username and bio you are comfortable having seen, and do not put your real name, contact details or other private information in them.

10Paying for the app: App Store subscriptions#

Using the iPhone app requires an auto-renewing subscription, which you buy through Apple’s App Store. Plans, prices, any free trial and the length of each billing period are shown on the in-app screen before you subscribe, in your local currency. At the time of writing the plans are $7.99 per month and $29.99 per year, and the annual plan includes a 7-day free trial for new subscribers who are eligible for one under Apple’s rules.

• Payment is charged to your Apple Account at confirmation of purchase, or when a free trial ends if you do not cancel before then.
• The subscription renews automatically for the same period at the then-current price unless you turn off auto-renew at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours before the end of the current period.
• Any unused part of a free trial period is forfeited when you buy a subscription.
• Manage or cancel in Settings on your iPhone → your name → Subscriptions, or from the Manage subscription link in the app. Deleting the app does not cancel a subscription, and neither does deleting your Cooked account.
• Apple processes the payment and handles refunds. Ask Apple at reportaproblem.apple.com. We cannot issue refunds for App Store purchases ourselves and, apart from rights the law gives you that cannot be waived, subscription fees are not refundable by us.
• If we change a price, Apple notifies you and, where required, asks for your consent. If you do not agree, cancel before the change takes effect.
• We record your App Store transaction and subscription status so the app can tell whether your subscription is active. We never receive your card details or Apple Account password.

The website does not take payments at the time of writing. If that changes, the terms of the purchase will be shown at the point of sale.

11Acceptable use#

You agree not to, and not to help anyone else to:

• break the law, or infringe or misappropriate anyone’s rights;
• harass, threaten, defame or abuse other users, or post hateful, sexually explicit, or otherwise unlawful content;
• use Cooked to promote, advertise, pump or solicit for any token, trading group, scheme, service or real-money trade, or to share referral links or spam;
• cheat: use multiple accounts, collude, exploit bugs in the simulation, manipulate prices or rankings, or script trades to gain an unfair standing, and in particular, if you find a bug, report it to support@cooked.trade rather than use it;
• scrape, crawl or bulk-download the Service, or use it to build a competing product or dataset, other than through interfaces we publish for that purpose;
• probe, scan or test the vulnerability of the Service, bypass rate limits or access controls, or interfere with its operation or other users’ use of it;
• reverse engineer, decompile, or tamper with the app, except to the extent the law allows despite this restriction;
• impersonate another person or misrepresent your affiliation; or
• upload malware or anything else designed to harm a system or person.

We may remove content, adjust or void results, remove you from rankings, suspend or close accounts, and take other steps we consider reasonable to enforce this section or to protect the Service and its users. Where it is reasonable to do so, we will tell you why.

12What you post, and the licence you give us#

You own what you create. “Your Content” means what you submit to the Service, such as your username, display name, bio, portfolio and league names, and any posts or reactions on the website. You give us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and distribute Your Content, and to adapt it as needed to do so, only for operating, securing and improving the Service, including showing it to other users as the product is designed to, and creating the share cards you request. The licence ends when Your Content is deleted from the Service, except for copies in backups for the period the Privacy Policy describes, and for anything others have already shared.

You promise that you have the right to submit Your Content and that doing so does not break the law or anyone’s rights. We do not pre-screen content and are not responsible for what users post, but we may review, remove or restrict it at our discretion.

If you send us feedback or suggestions, we may use them without owing you anything.

13Reporting content, and copyright#

To report a user, a post, a username, or anything else that breaks these Terms, write to support@cooked.trade with a link or screenshot and what is wrong. We review reports and act on them as we reasonably can.

If you believe content on the Service infringes your copyright, send a notice to support@cooked.trade that identifies the work, identifies where the infringing material is, gives your contact details, states that you have a good-faith belief the use is not authorised, and states under penalty of perjury that the notice is accurate and that you are the owner or authorised to act for the owner. We may remove the material and, where appropriate, close the accounts of repeat infringers. If you believe we removed something by mistake, you can send us a counter-notice with your contact details and a statement under penalty of perjury that you believe the removal was a mistake.

14Public on-chain data, and how to have a wallet removed#

The website can display information drawn from the public Solana blockchain, such as activity and computed performance associated with a wallet address, whether or not the owner has an account. This is public data that exists on the blockchain regardless of Cooked.

If an address that is yours appears on Cooked and you want it removed, use the request form at /legal/takedown. It needs no account and no reason, and we aim to act on a request within 72 hours of receiving it. We stop displaying the address; we cannot delete the blockchain itself or copies others made.

15Third-party services and data#

The Service relies on third parties, including Apple and Google for sign-in, notifications and payments, and market-data and blockchain-data providers for the prices, charts and token information it shows. We do not control them and do not guarantee that their data is accurate, complete or timely. Token names, logos, descriptions and links come from public sources and may be wrong or misleading, and some tokens are scams, so do not treat a token’s appearance in Cooked as a statement that it is safe or genuine. Links to other sites are provided for convenience, and we are not responsible for their content or practices.

16Our intellectual property#

The Service, including the app, the website, our software, the Cooked name, logos and design, and the content we create, belongs to us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the app and the website for your own non-commercial use. We reserve all rights not expressly granted. The Cooked name and logo are our trademarks, and you may not use them without our permission.

17Changes to the Service#

We are always changing Cooked. We may add, change or remove features, adjust simulation settings, reset seasons or leaderboards, or suspend or discontinue the Service or part of it. The Service is provided as it is available and we do not promise it will be uninterrupted or error-free. If we discontinue the paid app entirely, we will give notice and stop renewing your subscription, and where Apple’s rules or the law give you a refund for the unused period, you can claim it from Apple.

18Deleting your account, suspension and termination#

You can stop using Cooked any time. To delete your account, open the iPhone app’s Settings and choose Delete account, or email support@cooked.trade from the address linked to your sign-in. Deletion removes your account and the data attached to it as described in the Privacy Policy, including your portfolios, trades, alerts and sign-in records, and cannot be undone. It does not cancel an App Store subscription, which you must cancel with Apple.

We may suspend or close your account, or restrict features, if you break these Terms, if we are required to by law, if your use creates risk for us or other users, or if we stop providing the Service. We will tell you why where it is reasonable to do so. Sections that by their nature should survive termination will survive, including sections 5 to 7, 12, 16, and 19 to 25.

19Disclaimer of warranties#

Some places do not allow certain warranties to be excluded, so some of the above may not apply to you. Nothing in these Terms limits any right you have under a law that cannot be waived.

20Limitation of liability#

In particular, because Cooked uses no real money, we are not liable for any decision you make, or loss you suffer, from trading real assets after using or relying on anything in the Service. These limits do not apply to liability that cannot be excluded or limited by law, such as for fraud or for death or personal injury caused by negligence, and some places do not allow the limits above, so they may not apply to you in full.

21Indemnification#

You agree to defend and reimburse us and our members, managers, officers, employees and contractors against third-party claims, and the losses and reasonable legal fees that result, to the extent they arise from Your Content, your breach of these Terms, or your violation of law or another person’s rights. We will tell you promptly about any such claim and let you take reasonable steps to respond, and we may take control of our own defence. This section does not apply where the law does not allow it.

22Disputes, arbitration, and class action waiver#

1. 01Talk to us first. Before starting a formal dispute, email support@cooked.trade with a description of the problem and what you want. Both of us will try in good faith to resolve it for 30 days.
2. 02Binding individual arbitration. If we cannot resolve it, any dispute, claim or controversy between you and ZEVRON LLC arising from or relating to these Terms or the Service will be resolved exclusively by binding arbitration, not in court, except as set out below. The Federal Arbitration Act governs this section. Arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules in effect when the claim is filed, which you can read at adr.org. Judgment on the award may be entered in any court that has jurisdiction.
3. 03Fees and location. The Consumer Arbitration Rules’ fee schedule applies, and we will pay any filing, administration and arbitrator fees that exceed what it would cost you to file a lawsuit in court. Unless we agree otherwise, a hearing, if one is held, will take place by phone or video, or in the county where you live.
4. 04No class actions. Each of us may bring claims only in our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not combine claims or preside over any form of class proceeding. If this waiver is found unenforceable as to a claim, that claim must be heard in court, and not in arbitration.
5. 05What stays in court. Either of us may bring an individual claim in small-claims court if it qualifies, and either of us may ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorised access to the Service.
6. 06Opt out. You may opt out of arbitration and the class waiver by emailing support@cooked.trade within 30 days after you first accept these Terms, with the subject “Arbitration opt-out”, your name and the email or username of your account. Opting out does not affect any other part of these Terms.
7. 07Court cases. For any dispute that is not arbitrated, you and we each submit to the exclusive jurisdiction of the state and federal courts located in Florida, and waive objections to that venue, except that nothing here limits your right to bring a claim in your own country’s courts where the law gives you that right and it cannot be waived.
8. 08Time limit. To the extent the law allows, any claim must be filed within one year after it arose, or it is permanently barred.

23Governing law#

These Terms, and any dispute arising from them or the Service, are governed by the laws of the State of Florida, United States, and applicable U.S. federal law, without regard to conflict-of-law rules. If you are a consumer who lives outside the United States, you also keep the mandatory consumer protections of your country of residence.

24Changes to these Terms#

We may update these Terms. We will change the version and date at the top of this page, and for a change that materially affects your rights we will give you reasonable notice before it applies, for example in the app, on the website, or by email. If you keep using the Service after the new version takes effect, you accept it. If you do not accept it, stop using the Service and delete your account before then; if you pay by subscription, cancel it with Apple. A change never applies retroactively to a dispute that has already started.

25Notices and the rest#

We may give you notice by posting in the Service or by email to the address linked to your sign-in, where we have one. You can give us notice by email to support@cooked.trade. By using the Service you consent to receive notices electronically, and you agree that electronic notices satisfy any legal requirement that they be in writing.

• Entire agreement. These Terms, the Privacy Policy and any additional terms we show you for a specific feature are the whole agreement between you and us about the Service.
• Severability. If a provision is found unenforceable, it is limited as little as necessary and the rest stays in force.
• No waiver. Not enforcing a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets, or by operation of law.
• Events outside our control. We are not liable for failure or delay caused by events outside our reasonable control, including outages of internet, cloud, market-data, or app-store services.
• No agency. Nothing here makes you and us partners, agents, or employer and employee.

26The iOS app and Apple#

This section applies if you downloaded the Cooked Paper app from Apple’s App Store. Apple’s standard Licensed Application End User License Agreement (apple.com/legal/internet-services/itunes/dev/stdeula) applies to the app in addition to these Terms. Where the two conflict about the app itself, Apple’s agreement governs to the extent of the conflict, and everything else about the Service is governed by these Terms.

• Apple is not a party. These Terms are between you and ZEVRON LLC only, not Apple Inc. We, not Apple, are solely responsible for the app and its content.
• Scope of licence. Your licence to the app is a non-transferable licence to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Maintenance and support. We are solely responsible for any maintenance and support for the app. Apple has no obligation to provide any.
• Warranty. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are our responsibility, subject to these Terms.
• Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer-protection or privacy laws.
• Intellectual property. If a third party claims that the app or your use of it infringes their intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.
• Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Contact. Questions, complaints or claims about the app can be sent to ZEVRON LLC at support@cooked.trade.
• Third-party terms. You must comply with applicable third-party terms when using the app, such as your mobile carrier’s terms for data use.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them Apple will have the right, and will be deemed to have accepted the right, to enforce them against you as a third-party beneficiary.
